Overview

QC Real Estate Legal Specialist supports the work of our outside Legal Counsel through the real estate development process. Specialist manages communication and document flow between Real Estate Managers and Counsel for each of their respective deals, helping to determine the most efficient and cost-effective utilization of both internal MUSA Counsel and outside Legal Counsel resources.

Responsibilities

  • QC Real Estate Legal Specialist supports the work of our Legal Counsel through the real estate development process. Specialist manages communication and document flow between Real Estate Managers and Legal Counsel for each of their respective deals.
  • Review Letters of Intent and Lease Checklists, which are prepared by each Real Estate Manager, to present initial deal terms to Legal Counsel in a standardized and efficient format.
  • Assist Real Estate Managers with deal negotiations and document redlining for Counsel review.
  • Collaborate with RE Managers, Development Manager, Construction Team, and Counsel on all deal issues throughout entire lease negotiation process.
  • Direct the work of our surveyors and civil engineers for preparation of all technical exhibits for leases and easements.
  • Facilitate document execution by all parties, including DocuSign or original signature routing.
  • Coordinate with Counsel to provide relevant terms or information needed to draft lease amendments, easements, and ancillary lease documents, and facilitate the execution of these documents. This may include deed notices and other documents required by government agencies in connection with land use approvals and recording of same.
  • Consult with title insurance companies to obtain title reviews, specific title searches, and securing of title commitments. Review of title commitments, title exception documents, legal descriptions, and surveys.
  • Collaboration with Development Manager, RE Managers and MUSA Environmental to review environmental reports and ensure environmental issues are being properly addressed per standard MUSA/QC terms. Preparation of notices to landlord to address environmental concerns, issues, and landlord’s responsibilities regarding these.
  • Confirmation with team that all conditions of delivery have been met, review of landlord’s delivery documents with outside Counsel, preparation of Rent Commencement Agreement.
  • Reconciliation of reimbursements due to, or from, landlord/developers per terms of lease (environmental remediation costs, reimbursement to landlord for development costs, construction costs, carry cost amounts).
  • Regularly coordinate and prioritize with Team on the status of leases in progress, negotiations, and general review process to assure deadlines and goals are being met.
  • Track lease and contract deadlines/trigger dates relating to lease and contract provisions (due diligence periods, permit periods, carrying costs/pre-term rent, rent commencement) leading up to store opening.
  • Attend monthly Real Estate Meetings with technical consultants, contractor team and QC Development Team.
  • Participate in all team huddles and conference calls to stay abreast of current topics and issues related to all current pipeline project.
  • Participate in Due Diligence calls; prepare summary of discussions for Development Manager and notice to landlord of Due Diligence findings.

 

Qualifications

  • The ideal candidate will have a bachelor's degree and at least three years of experience in a law office or business setting
  • Strong communication and problem-solving skills are essential for this role, as well as the ability to manage confidential information with discretion
  • Proactive, with an ability to see things through from start to finish
